Terms of Service

1. Service Description

BuildPad is an AI-powered software development platform that provides AI agent orchestration, project management, and collaborative development tools ("the Service"). By accessing or using BuildPad, you agree to be bound by these Terms of Service ("Terms").

BuildPad is operated by BuildPad Technology ("we," "us," or "our"). Our platform enables teams to coordinate AI agents, manage software projects, and accelerate development workflows through intelligent automation.

2. Eligibility and Account Registration

To use BuildPad, you must be at least 18 years of age, or if you are between 13 and 17, you must have the consent of a parent or legal guardian who agrees to these Terms on your behalf.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. User Responsibilities and Acceptable Use

You agree to use BuildPad only for lawful purposes. You may not:

• Use the Service to generate, distribute, or facilitate illegal content or activities
• Attempt to reverse-engineer, decompile, or extract the source code of BuildPad
• Use automated scripts to scrape, crawl, or access the Service at scale without permission
• Impersonate another person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service or its data
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the Service to send spam, unsolicited communications, or engage in phishing
• Violate any applicable local, state, national, or international law or regulation

We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behavior, or pose a risk to the integrity of the platform or other users, with or without prior notice.

4. Payment Terms

4.1 Billing

Paid plans are billed in advance on a monthly or annual basis, depending on the plan you select. All prices are displayed in US dollars unless otherwise specified. Payment is processed securely through our payment provider, Stripe.

4.2 Refunds

We offer a 7-day refund window from the date of initial purchase or renewal. If you are not satisfied with the Service within this period, contact us at billing@buildpad.me to request a refund. Refunds are issued at our discretion and are not guaranteed beyond the 7-day window.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period for which you have already paid. We do not provide pro-rated refunds for cancellations mid-period.

4.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

5. Intellectual Property

5.1 Our IP

BuildPad and its original content, features, and functionality are owned by BuildPad Technology and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

5.2 Your Content

You retain all rights to content you create, upload, or generate through the Service ("User Content"). By using BuildPad, you grant us a limited, non-exclusive, royalty-free license to process and store your User Content solely for the purpose of operating and improving the Service.

We do not claim ownership of your code, projects, or data. We will not use your User Content to train AI models without your explicit consent.

6. Limitation of Liability

To the maximum extent permitted by applicable law, BuildPad Technology and its officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Unauthorized access to or alteration of your transmissions or data
• Any content obtained from or through the Service
• Any bugs, viruses, or other harmful code transmitted through the Service by any third party

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to BuildPad in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Dispute Resolution

7.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions.

7.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the parties cannot reach a resolution within 30 days, the dispute shall be submitted to binding arbitration in Cairo, Egypt, under the rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA). The arbitration shall be conducted in English.

7.3 Class Action Waiver

You agree that any disputes will be resolved individually. You waive any right to bring claims as a plaintiff or class member in any class, consolidated, or representative action.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by sending an email notification to the address associated with your account. The "Last updated" date at the top of this page reflects the date of the most recent revision.

Your continued use of the Service after any changes to the Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
